The Annual General Meeting (AGM) is the company’s highest decision-making body. At the AGM, all shareholders are provided with the opportunity, not subject to limitation, to exercise influence over the company corresponding to their respective share-holdings. The company applies no special arrangements concerning the function of the AGM – neither based on any provisions in the Articles of Association or, insofar as the company is aware, any agreements between shareholders.
The AGM appoints the Board an auditors and adopts principles for the remuneration of the Board and Group management. When necessary, the AGM also makes decisions on items including the Articles of Association, dividends, and changes in share capital. At the AGM, which must be held within six months of the close of the financial year, resolutions must be passed on the adoption of the balance sheets and income statements, the appropriation of Catena’s profit or loss and the discharge of responsibility of the Board and the CEO.
Shareholders of Catena AB (publ) are hereby invited to attend the Annual General Meeting on Wednesday, 29 April 2020 at 4.00 p.m. at the World Trade Center, Klarabergsviadukten 70 in Stockholm, Sweden.
Due to continued spread of the Coronavirus, we ask shareholders who display the slightest symptoms of illness, who have relatives who are sick, who have been abroad during the last two weeks before the AGM or are at higher risk of serious illness to vote via proxy and not participate in the meeting. This also applies to any legal/financial assistants.
Our ambition is to keep the meeting as short and efficient as possible. The issues are concentrated on the decision points on the agenda, there will be no time for general questions. Catena's CEO, Benny Thögersen, is not present but will participate via video link. Parts of the Board, management, auditors and nomination committee will also participate via video link. The people present will be well placed in the room.
